Terms of Sale

These Terms of Sale (as they may be amended from time to time, the “Terms”) describe the terms and conditions upon which Unlayered 3D Inc., a Delaware corporation (together with its successors and assigns, the “Company”, “we”, “us” or “our”), is willing to sell its products and services, including without limitation its proprietary 5-axis three-dimensional (3D) printing system and related parts and accessories. The www.unlayered3d.com website (the “Site”), together with any of our related websites, services, software tools, mobile applications or other applications, are collectively referred to herein as the “Services”. Except as we may otherwise agree in writing at the time of any applicable sale, to the greatest extent permitted by law, these Terms shall apply to any sale, license, lease or other distribution of any product or service by the Company to any customer, whether ordered or purchased by such customer on or through the Services, pursuant to any separate order or in any other manner. By purchasing one or more products or services from the Company (through the Services or otherwise), the applicable customer (the “customer”, “you” or “your”) agrees that sale transaction is governed by these Terms to the greatest extent permitted by law. We reserve the right, at our discretion, to change, modify, add or remove portions of these Terms at any time, and to post these Terms so modified on the Site. Except as we may otherwise agree in writing with you, the version of these Terms posted to the Site at the time you order a product or service from us shall govern such sale transaction.

Order Confirmation

All orders of products or services from the Company are subject to acceptance by the Company. The Company reserves the right to reject or cancel any order in its reasonable discretion, including without limitation for reasons relating to parts or labor availability, inventory shortages or pricing errors.

Shipping

The Company ships its products to addresses in the continental United States. For shipments outside of the United States, or to addresses in Alaska or Hawaii, please contact us at info@unlayered3d.com prior to placing an order.

Except as the Company may otherwise agree in writing, the customer will be responsible for all applicable shipping and packing charges as well as any related taxes, duties or governmental fees.

Any delivery dates provided by the Company are estimates only. Title and risk of loss with respect to shipped products pass to the customer upon the Company’s delivery of the applicable product to the shipping carrier.

Returns

Except as the Company may otherwise agree in writing, as of the date of adoption of these Terms, the Company does not offer returns.

Limited Warranty

The Company warrants that any Unlayered 3D™ 5-Axis 3D Printer purchased directly from the Company (each, a “Covered Unit”) will be free from material defects in materials and workmanship under normal use for a period of 12 months from the date of delivery by the Company (the “Warranty Period”), as further provided in the next paragraph.

This warranty (the “Limited Warranty”) means that, during the Warranty Period, with respect to each Covered Unit, the Company will use commercially reasonable efforts to (i) provide technical support, (ii) at the Company’s sole option, repair or replace components determined by the Company in its reasonable discretion to be defective under normal operation and (iii) provide reasonable guidance for installation and troubleshooting.

The Limited Warranty does not apply to: (a) cosmetic damage, such as scratches, nicks and dents; (b) normal wear items (such as nozzles, belts, bearings, build surfaces) or consumable items (such as filament or resin), unless product damage has occurred due to a defect in materials or workmanship; (c) damage caused by accident, abuse, misuse, water, flood, fire, or other acts of nature or external causes; (d) damage caused by service performed by anyone who is not an authorized service provider of the Company; (e) damage to a product that has been modified or altered without the written permission of the Company, (f) damage to a product that has been connected to power using AC adapters or cables that are not supplied or authorized by the Company.

Customer shall be responsible for any applicable shipping or transportation cost with respect to warranty claims.

You expressly acknowledge that, as of the date of adoption of these Terms, the Unlayered 3D™ 5-Axis 3D Printer is a “beta”, “pilot” or otherwise an early-release version. Accordingly, you acknowledge that hardware and software comprising any Covered Unit or any portion thereof may contain bugs, errors or other imperfections during the Warranty or thereafter. The Company’s sole obligations under the Limited Warranty shall be its obligations during the Warranty Period as expressly stated above.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WARRANTIES AND REMEDIES CONTAINED IN THIS LIMITED WARRANTY ARE EXCLUSIVE AND IN LIEU OF, AND THE COMPANY EXPRESSLY DISCLAIMS, ALL OTHER WARRANTIES AND REMEDIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, STATUTORY REMEDY OR OTHERWISE.

Limits of Liability

TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE TO CUSTOMER (IN A CLAIM FOR BREACH OF WARRANTY OR OTHERWISE) FOR ANY INCIDENTAL, SPECIAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS OR REVENUES, LOSS OF DATA, LOSS OF USE OF THE PRODUCT OR ANY ASSOCIATED EQUIPMENT OR THE COST OF ANY REPLACEMENT GOODS OR SUBSTITUTE EQUIPMENT), WHETHER RESULTING FROM THE USE, MISUSE OR INABILITY TO USE ANY PRODUCT OR SERVICE SOLD BY THE COMPANY OR FROM ANY DEFECTS IN ANY SUCH PRODUCT OR SERVICE (OR IN ANY PART, COMPONENT OR OTHER ITEM PRINTED OR OTHERWISE PRODUCED USING ANY 3D PRINTER OR OTHER PRODUCT OR SERVICE SOLD OR OFFERED BY THE COMPANY). THE FOREGOING LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL OR EQUITABLE THEORY) AND APPLIES EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY’S TOTAL CUMULATIVE LIABILITY TO CUSTOMER IN RESPECT OF ANY SALE TRANSACTION EXCEED THE PRICE PAID BY THE CUSTOMER FOR THE APPLICABLE PRODUCT.

Ongoing Support

After expiration of the Warranty Period with respect to any Covered Unit, the Company will at its option use commercially reasonable efforts to maintain reasonable spare parts availability and engineering support (at its then-effective standard rates) for the then-remaining expected lifetime of such Covered Unit. Examples of this engineering support include, but are not limited to:

  • Providing .STL files of printed parts (not to be redistributed)
  • Facilitating the sale of replacement parts
  • Providing customer support
  • Providing updated software versions

General

The Terms constitute the entire agreement between customer and the Company with respect to the subject matter hereof, superseding any prior agreements. These Terms shall be governed by the laws of the State of Indiana without regard to its conflict of law provisions, and each party shall submit to the personal and exclusive jurisdiction of the courts located within the Southern District of Indiana. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. Nothing herein shall be deemed to create an agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship of any kind between the Company and any customer. The Company shall not be liable for any delay or failure caused by events beyond its reasonable control, including without limitation natural disasters, labor disputes, governmental actions, supply chain disruptions, pandemics or transportation delays.

Survival

The provisions above listed under the headings “Limited Warranty”, “Limit of Liability” and “General” shall survive any termination or expiration of these Terms with respect to any particular transaction.

Additional Pilot Product Terms

Assumption of Risk

Customer acknowledges that operation of the Products involves heated components, moving mechanical systems, electrical systems, and other hazards inherent to additive manufacturing equipment. Customer assumes all risks associated with the installation, operation, maintenance, and use of the Products and agrees to operate the Products only in accordance with the Company's documentation, safety instructions, firmware requirements, and applicable laws.

Compliance with Documentation

Customer agrees to install, operate, maintain, and service the Products in accordance with all manuals, safety instructions, firmware updates, maintenance procedures, and other documentation provided by the Company. Failure to follow such documentation may void all or part of the Limited Warranty.

Routine Maintenance

Customer is responsible for performing routine maintenance identified in the Company's documentation, including inspection and replacement of wear items and other scheduled maintenance. Damage or failures resulting from improper maintenance or failure to perform required maintenance are not covered by the Limited Warranty.

Pilot Products

Customer acknowledges that the Unlayered 3D™ 5-Axis 3D Printer and related software are pilot products intended for evaluation and early use. Pilot hardware and software may contain features, limitations, defects, or functionality that differs from future production versions. Customer understands that ongoing updates, modifications, and improvements may be made throughout the pilot program.

Software License

All software, firmware, cloud services, mobile applications, desktop applications, slicers, and related software products developed or provided by the Company (collectively, the "Software"), except software expressly provided under an applicable open-source license, are licensed to Customer and are not sold.

Subject to these Terms, the Company grants Customer a limited, non-exclusive, non-transferable, revocable license to use the Software solely in connection with authorized Company products and services.

Except to the extent prohibited by applicable law or expressly permitted by the Company in writing, Customer shall not: (i) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code; (ii) modify or create derivative works of the Software; (iii) redistribute, sublicense, lease, rent, lend, sell, or otherwise transfer the Software; or (iv) use the Software except as expressly authorized by the Company.

Open Source Software

Certain software components provided by the Company may be subject to third-party open-source licenses. Nothing in these Terms modifies or supersedes the rights or obligations applicable to such software under the respective open-source licenses. To the extent of any conflict between these Terms and an applicable open-source license, the terms of the applicable open-source license shall control with respect to that software.

Intended Use of Printed Parts

Customer is solely responsible for determining whether any printed part, prototype, fixture, tool, assembly, or other object produced using the Products is suitable for its intended application. The Company does not certify, approve, validate, or warrant any printed part for structural, safety-critical, aerospace, automotive, medical, defense, life-support, or other regulated or mission-critical end uses unless expressly agreed to by the Company in a separate written agreement. Customer is solely responsible for all testing, validation, certification, regulatory compliance, and qualification of any printed parts prior to deployment or commercial use.

Export Compliance

Customer agrees to comply with all applicable United States export control, sanctions, and import laws and regulations governing the Products, Software, technical data, and any printed parts produced using the Products. Customer shall not export, re-export, transfer, or provide access to the Products or Software in violation of applicable law.
